About these terms

These terms apply to your use of thedarklight.in and to services provided by The Darklight, Vadodara, Gujarat, India. By using the website or accepting our proposal, you agree to them.

Proposals and scope

Every project starts with a written proposal or quotation describing the scope, deliverables, timeline and price. Work outside that scope is a change request and is quoted separately before we start it.

Prices and payment

• Prices on the website are starting prices and exclude GST, which is added at the applicable rate.
• Project payments: 50% advance before work begins, 30% on design approval, 20% before launch, unless your proposal says otherwise.
• Monthly plans are billed in advance and run month to month after any minimum term in your proposal.
• Ad budgets, domain, hosting, paid plugins, WhatsApp API and other third-party fees are paid by you directly to those providers, or reimbursed to us at cost.
• Invoices are due within 7 days. We may pause work on overdue accounts.

Your responsibilities

You agree to provide content, feedback, approvals and access on time; to make sure the material you give us (logos, text, images, data) is yours to use; and to follow the law and platform policies in how you use what we deliver. Delays in your inputs extend the timeline.

Revisions and approvals

Your proposal states the number of revision rounds included. Once you approve a design or deliverable, further changes to it are treated as change requests.

Ownership and intellectual property

• After full payment, you own the final deliverables made for you: designs, website code written for your project, logos and content.
• We keep ownership of our pre-existing tools, code libraries and know-how, and give you a permanent licence to use them as part of your deliverables.
• Open-source software, fonts, stock images and third-party plugins remain under their own licences.
• Unless you tell us otherwise in writing, we may show your project in our portfolio and on social media, without sharing confidential information.

Third-party platforms

Our work often runs on platforms we don't control, such as Google, Meta, WhatsApp, Shopify, hosting providers and AI services. We are not responsible for their outages, policy changes, account suspensions, ranking changes or price changes.

Results

We commit to doing the agreed work professionally and on time. Because search rankings, ad performance and sales depend on factors outside our control, we do not guarantee specific rankings, leads, traffic or revenue unless your proposal expressly says so.

Support and warranty

We fix bugs in our own work free of charge for the support period stated in your package (30, 60 or 90 days after launch). Changes caused by you, third parties, new features or platform updates after that period are billed separately or covered by a maintenance plan.

Confidentiality

We keep your business information, login details and data confidential and use them only for your project. Please share passwords through a password manager or secure method, not plain text.

Cancellation

Either party may end a project with 15 days' written notice. You pay for work completed up to that date; advance payments covering completed work are non-refundable. Monthly plans can be cancelled with 30 days' notice.

Limitation of liability

To the extent the law allows, our total liability for any claim relating to a project is limited to the fees you paid us for that project in the 3 months before the claim. We are not liable for indirect losses such as lost profits, data or business opportunities.

Website use

Content on this website is for general information. Please don't copy it, misuse our forms, or try to disrupt the site. Links to other websites are provided for convenience; we are not responsible for their content.

Governing law

These terms are governed by the laws of India. Courts in Vadodara, Gujarat have exclusive jurisdiction.
